Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Koyaro websites, applications, APIs, and related services (together, the “Service”). By creating an account, clicking to accept these Terms, or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.

If you do not agree, do not create an account or use the Service.

The Service is provided by Koyaro, the operator of the Koyaro service (a Danish company to be registered as an ApS; company registration details will be published here when available) (“Koyaro”, “we”, “us”, or “our”). Contact: legal@koyaro.com.

Effective date of these Terms: 7 September 2026.

You must be at least 16 years old (or the age of digital consent in your country, if higher) to create an account. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

You are responsible for your account credentials and for activity under your account. Provide accurate information and keep it updated. Notify us promptly if you suspect unauthorized access.

Koyaro provides cycling-oriented training tools, including (as available to your plan) activity ingest, training metrics and plans, nutrition and readiness guidance, race preparation features, equipment tracking, and optional AI-assisted coaching interfaces that are constrained by our deterministic science engine.

Features may change, be added, or be discontinued as we improve the Service. We may impose fair-use, rate, or credit limits.

Koyaro is a training and wellness software product. It is not a medical device and does not provide medical diagnosis, treatment, or clinical care. Metrics such as readiness, energy availability, or REDs-related screening are informational tools only — not a clinical assessment.

Always consult a qualified healthcare professional before starting or changing exercise, nutrition, or recovery practices, especially if you have a medical condition, injury, or symptoms of illness. You use the Service at your own risk.

Some parts of the Service use artificial intelligence to explain engine outputs, answer questions, or help you navigate plans. AI responses can be incomplete or wrong. Numbers and prescriptions that matter for training should be treated as coming from the documented science engine (and your own judgment), not as invented facts.

AI usage may consume prepaid credits or plan allowances as described at signup and in-product billing screens. When your balance reaches zero, AI features may stop until you purchase more credits or your allowance renews.

Access is invite-only closed beta today. Paid plans and AI credit packs are billed through Stripe. Where Stripe acts as merchant of record, Stripe handles applicable consumer taxes, payment processing, receipts, and related payment support. Prices and included allowances are shown at checkout and in the product.

If we offer a trial or promotional period on your account, its length and what is included are shown at checkout or in the product. When a trial ends, the paid plan you selected continues unless you cancel.

Unless stated otherwise, subscriptions renew automatically until you cancel in the customer billing portal or in-product settings. You authorize recurring charges to your payment method. Failure to pay may result in suspension or limitation of paid features after any grace or retry period Stripe applies.

Except where required by law or expressly stated by us or Stripe, fees are non-refundable once charged.

You may connect third-party services (for example intervals.icu, Garmin, or Wahoo) and upload files such as FIT activities. You grant us a worldwide, non-exclusive license to host, process, and display that content solely to operate, secure, and improve the Service for you (and, if applicable, for teammates you authorize).

You represent that you have the rights needed to connect those accounts and upload that data. Third-party services have their own terms; we are not responsible for their availability or policies.

To operate and improve Koyaro, we use product analytics, error tracking, and related telemetry — including services such as PostHog — to understand how the Service is used, diagnose problems, measure feature adoption, and improve performance and user experience.

By accepting these Terms and creating an account, you acknowledge and agree that we may collect and process analytics and diagnostic data as described in our Privacy Policy, including through PostHog and similar processors, for these improvement purposes. Where a separate cookie or tracking preference is required by law, we will present that control in addition to these Terms.

You agree not to:

• Violate law or others’ rights;
• Probe, abuse, or overload the Service, scrape without permission, or circumvent access controls or billing;
• Upload malware or attempt to reverse engineer non-public parts of the Service except as allowed by mandatory law;
• Misrepresent your identity, or use the Service to provide clinical care or regulated medical advice to others;
• Resell or provide the Service to third parties except under a separate written agreement with us (for example future coach/org seats).

We may suspend or terminate accounts that violate these rules or that create risk for the Service or other users.

Koyaro and its logos, software, documentation, science models, and brand assets are owned by us or our licensors. These Terms do not transfer ownership to you. You may not copy, modify, or distribute our software or branding except as we expressly allow.

Feedback you send us may be used freely to improve the Service without obligation to you.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT METRICS, PLANS, OR AI OUTPUTS ARE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR GOALS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOYARO AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR TRAINING OUTCOMES, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD (EXCLUDING AMOUNTS PAID TO STRIPE AS MERCHANT OF RECORD WHERE WE NEVER RECEIVED THEM AS PRINCIPAL) AND (B) EUR 50.

Nothing in these Terms limits liability that cannot be limited under applicable law (including liability for death or personal injury caused by negligence where such limitation is prohibited).

You may stop using the Service and delete your account as provided in-product or by contacting us. We may suspend or terminate access if you breach these Terms, if required by law, or if we discontinue the Service with reasonable notice where practicable.

Provisions that by nature should survive (including intellectual property, disclaimers, limitations of liability, and governing law) survive termination.

We may update these Terms from time to time. We will post the updated version with a new effective date and, for material changes, provide additional notice (for example in-app or by email) and ask you to re-accept when required. Continued use after the effective date may constitute acceptance where permitted by law; where re-consent is required, we will prompt you.

These Terms are governed by the laws of Denmark, without regard to conflict-of-law rules. Courts of Denmark have exclusive jurisdiction, except that you may have mandatory consumer rights to bring claims in your country of residence.
